Important Scope Limitation

Comprehensive policy drafting, organizational assessments, strategic plans, executive retreats, board training, research studies, legislative drafting, regulatory analysis, stakeholder consultations, implementation projects, investigations, or other services exceeding the membership scope may be provided for a separate additional fee with the client’s prior approval.

Executive Access
The institutional membership includes designated priority access to GPS senior advisory services for time-sensitive governance, policy, and institutional matters within the agreed membership scope.
Important Scope Limitation
This membership establishes an ongoing advisory relationship but does not provide unlimited consulting services or place GPS personnel under the client’s operational control.
The membership does not include legal representation, lobbying, financial auditing, accounting, engineering, procurement representation, investigations, full-time project management, or services requiring specialized professional licensing unless separately agreed upon and appropriately provided.
Additional Services
Major governance reform projects, comprehensive institutional assessments, legislative or regulatory drafting, extensive policy research, organizational restructuring, strategic-plan development, monitoring and evaluation systems, executive training programs, board retreats, stakeholder consultations, feasibility studies, implementation projects, international assignments, or other services exceeding the membership scope will require a separate scope of work and additional professional fees.

ANNUAL MEMBERSHIP TERMS & CONDITIONS
Governance & Policy Solutions LLC
These Annual Membership Terms & Conditions govern participation in the Annual Advisory Membership Program offered by Governance & Policy Solutions LLC (“GPS”). By purchasing a membership, the client acknowledges and agrees to the following terms.
1. Annual Membership Commitment
All GPS advisory memberships are 12-month professional service engagements. The monthly amount displayed on the website represents the monthly equivalent of the annual membership fee and is provided for pricing comparison purposes.
2. Membership Term
The membership begins on the effective date stated in the client’s membership confirmation or service agreement and continues for twelve consecutive months.
Membership benefits are available only during the active membership term.
3. Membership Services
GPS will provide the services identified under the membership category selected by the client. Services are subject to the consultation, document-review, page, time, frequency, and other limitations stated in the applicable membership package.
Membership provides access to specified advisory services and does not constitute unlimited consulting.
4. Monthly Service Allocations
Services identified as monthly benefits are available during the applicable month.
Unless otherwise agreed by GPS in writing, unused consultations, document reviews, advisory hours, or other monthly benefits do not accumulate, carry forward, or convert into credits, refunds, or cash value.
5. Scheduling of Consultations
Consultations are subject to reasonable scheduling and GPS availability. Clients should request appointments sufficiently in advance.
GPS may establish reasonable scheduling, rescheduling, cancellation, and no-show procedures. Meetings requiring substantially more time than included in the membership may be treated as additional professional services.
6. Document Review Limitations
Document-review services are limited to the number and length of documents specified under the client’s membership.
Documents exceeding applicable limits, extensive research assignments, substantial revisions, or work requiring specialized analysis may require a separate scope of work and additional professional fees.
7. Additional Professional Services
Services exceeding membership limits or falling outside the stated membership scope are not included in the annual membership fee.
GPS may offer such services under a separate quotation, statement of work, engagement agreement, or other written authorization.
No separately billable additional service will be undertaken without the client’s prior authorization.
8. Cancellation and Refunds
Because the client is purchasing a 12-month advisory membership and GPS reserves professional capacity to provide services throughout that period, membership fees are generally nonrefundable after the membership begins, except where otherwise required by applicable law or expressly agreed by GPS in writing.
A client’s decision not to use available membership services does not, by itself, create an entitlement to a full or partial refund.
9. No Guarantee of Results
GPS provides professional advisory, analytical, governance, policy, organizational, strategic, and related consulting services. GPS does not guarantee any particular outcome, including, but not limited to:
- Award of a government contract, grant, tender, or procurement opportunity
- Approval of a proposal, application, policy, ordinance, regulation, or program
- Receipt of financing or investment
- Increased revenue or profitability
- Regulatory or governmental approval
- Adoption of GPS recommendations
- Achievement of a particular organizational, governance, policy, or business result
Clients remain responsible for their own organizational and business decisions.
10. Professional Scope and Independent Judgment
GPS provides governance, public policy, management, institutional development, research, strategy, training, and related professional consulting services within the scope of the applicable membership.
Membership does not automatically include legal representation, accounting, auditing, tax advice, investment advice, engineering, lobbying, or other services requiring a separate professional engagement, authorization, or license.
Where specialized professional services are required, GPS may recommend that the client consult an appropriately qualified professional.
11. Attorney-Client Relationship
A GPS advisory membership does not, by itself, establish an attorney-client relationship between the client and GPS, its founder, employees, consultants, or affiliates.
Any legal representation or legal services, if offered and legally permissible, must be established through a separate written legal engagement agreement.
12. Client Responsibilities
The client agrees to provide accurate, complete, and timely information reasonably necessary for GPS to perform membership services.
GPS may rely upon information supplied by the client unless the engagement expressly requires independent verification.
The client retains responsibility for final decisions, approvals, submissions, filings, implementation, and actions taken based upon advisory services.
13. Confidentiality
GPS will use reasonable professional measures to protect confidential client information obtained through the advisory relationship, subject to applicable law, contractual requirements, and any disclosure authorized by the client.
The client should identify particularly sensitive or restricted information before transmitting it to GPS.
14. Intellectual Property and GPS Materials
GPS retains ownership of its preexisting methodologies, frameworks, assessment instruments, templates, training materials, models, processes, checklists, and other proprietary materials.
Unless otherwise agreed in writing, membership grants the client a limited right to use materials supplied by GPS for the client’s own internal organizational purposes. Such materials may not be commercially redistributed, resold, published, licensed, or represented as the client’s original proprietary work without GPS’s written permission.
15. Third-Party Costs
Membership fees do not include third-party expenses such as travel, lodging, filing fees, registration fees, government fees, printing, specialized databases, external consultants, couriers, or other expenses unless expressly stated.
Any material third-party expense requiring reimbursement will be disclosed to and authorized by the client in advance.
16. Suspension or Termination by GPS
GPS reserves the right, subject to the applicable agreement and law, to suspend or terminate services for material breach of the membership agreement, unlawful or unethical requests, abusive conduct, failure to provide necessary cooperation, misuse of GPS materials, or other substantial violations of these Terms & Conditions.
Any financial consequences of termination will be determined according to the membership agreement and applicable law.
17. Renewal
Membership does not automatically renew unless the checkout process or membership agreement expressly states that automatic renewal applies and the client affirmatively agrees to those terms.
Before the end of the membership period, GPS may invite the client to renew for an additional 12-month term at the then-current membership rate.
18. Changes to Membership Services
GPS may periodically improve or modify its membership program. Material changes affecting an existing client’s contracted services during an active membership term will be handled consistent with the client’s membership agreement and applicable law.
19. Electronic Communications and Transactions
The client consents to conducting membership-related transactions and communications electronically, including membership confirmations, invoices, notices, scheduling communications, and electronic acceptance of applicable agreements, subject to applicable law.
20. Governing Agreement
These Terms & Conditions should be read together with the applicable membership description, checkout disclosures, invoice, statement of work, and any separately executed professional services agreement.
If GPS and the client execute a separate written agreement containing terms that conflict with these general Terms & Conditions, the terms of the specifically executed agreement will control to the extent of the conflict.
